Xuno Subscription Terms & Conditions
1. Introduction & Acceptance
This document sets out the extra services we provide to our Xuno Premium (“Paid Plan”) customers. It also sets out other important things that you need to know. For clarity, the term “account” in this document refers to your Xuno Virtual Account (“XVA”). These Subscription Terms apply only to consumers residing in the United States; Xuno Premium is not currently available outside the United States.
These Subscription Terms supplement, and are part of, your wider agreement with Involute Inc. (DBA Xuno) (“Xuno,” “we,” “us”), together with Xuno’s General Terms & Conditions, Privacy Policy, E-sign Consent, and Account Agreement disclosures (collectively, the “Agreement”). This document should be read alongside the General T&C. If these Subscription Terms conflict with the General T&C on a subscription or billing matter, these Subscription Terms control; on all other matters, including transactional disclosures, error-resolution rights, privacy, account termination, and indemnification, the General T&C and applicable law control.
Subscription fees are separate from transfer fees. Your Xuno Premium subscription fee is a recurring charge for access to Paid Plan benefits. It is distinct from, and in addition to, any fee, foreign-exchange spread, or other charge associated with any individual money transfer, which is disclosed separately at the time of that transfer as required by Regulation E (12 C.F.R. § 1005.31) and Xuno’s disclosures.
By starting a trial or subscribing, you affirmatively agree to these Subscription Terms, including the arbitration and class-action-waiver provisions in Section 16.
2. Eligibility
General eligibility requirements, including identity verification, age of majority, and sanctions screening, are governed by Xuno’s General T&C. To purchase or use the Xuno Premium Plan, you must additionally:
- Have completed at least one (1) transaction using your Xuno account before opting in to a Free Trial (see Section 5.1); and
- Have linked a bank account to your XVA.
Xuno reserves the right to refuse, suspend, or terminate Subscription access at any time where required by applicable law, sanctions screening (including OFAC and other applicable sanctions regimes), anti-money-laundering obligations, or Xuno’s risk and compliance policies, or where Xuno reasonably believes an account is being used fraudulently, abusively, or in violation of the Agreement. Where Xuno suspends or terminates your Xuno Premium access for compliance, sanctions, or legal reasons, your access will cease immediately or as required by the relevant obligation. Fees already paid for the current billing cycle are non-refundable in such circumstances, except where applicable law requires otherwise. Xuno will not be liable for any loss arising from a compliance-driven suspension or termination. See also Section 8 (Refunds).
3. Free Plan and Xuno Premium
3.1 Free Plan
All Xuno account holders have access to the Free Plan by default. The Free Plan gives you access to Xuno’s core set of values, including transaction limits, delivery speed options, and transaction fees, as described within the App.
The Free Plan is your default plan. It is what your account operates on when you first join Xuno, and what your account returns to if you choose not to subscribe to Xuno Premium, if your Free Trial ends without conversion, or if you cancel your Xuno Premium subscription. The Free Plan is distinct from the Free Trial described in Section 5: the Free Plan is the ongoing baseline tier; the Free Trial is a time-limited, no-cost preview of Xuno Premium. Changes to the set of values available under the Free Plan are governed by Xuno’s General T&C.
3.2 Xuno Premium
Xuno Premium is our paid subscription plan (the “Paid Plan”), which gives you an enhanced set of values on top of what the Free Plan offers, including reduced transaction fees, increased transaction limits, and access to faster delivery speed options (each, a “Benefit”), as described within the App at the time of purchase. Current Xuno Premium values and pricing are listed within the subscription section after you log in, incorporated into these Subscription Terms by reference.
Benefits are not universal across all transfers or funding methods. Unless expressly stated otherwise in the App at the time you subscribe or at the time of a specific transfer, Benefits may vary by, or may not apply to: (a) the send/receive corridor; (b) delivery/payout method; (c) funding method (e.g., XVA balance, linked bank account); or (d) transfer amount. Where a Benefit is available for all transfers, that limitation will be disclosed before you rely on it, and Xuno makes no representation that any Benefit is, or will remain, available for every funding method.
The values and price applicable to your account are those in effect for Xuno Premium at the time you subscribe, subject to Section 6.7 (Price Changes) and Section 11 (Changes to Set of Values or Plans).
Before committing to a paid subscription, eligible users may try Xuno Premium free trial for one month, see Section 3.3.
3.3 Free Trial of Xuno Premium
If you are eligible, you may try Xuno Premium free for one month through a Free Trial before committing to a paid subscription. The Free Trial gives you full access to Xuno Premium values during the trial period. Details on eligibility, duration, and what happens at the end of the trial are set out in Section 5.
4. No Guarantee; Assumption of Risk
Foreign-exchange rates fluctuate continuously and are outside Xuno’s control. Delivery timing depends on factors including the receiving institution, payout network, and compliance screening, and stated delivery windows are estimates, not guarantees. No statement in these Subscription Terms, in Xuno’s marketing materials, or in the App’s general plan descriptions guarantees any specific exchange rate, fee amount, savings amount, or delivery time for any individual transfer. The only binding, transfer-specific terms for a given transfer are those disclosed to you at the time you send that transfer, consistent with Regulation E. You acknowledge that subscribing to Xuno Premium does not eliminate the inherent variability of currency markets or cross-border payment networks.
5. Free Trial
5.1 Trial Eligibility
To opt in to a free trial of Xuno Premium (“Free Trial”), you must meet the eligibility requirements in Section 2. In addition, you must not have previously enrolled in a Free Trial on this account. Free Trials are available on a one-time-only basis per user; once used, you are not eligible for another Free Trial on the same Xuno account, regardless of whether that account is later closed and reopened. Xuno may use identity, device, payment-method, and account-linkage signals to enforce this limit and to detect and prevent repeat-trial abuse.
Xuno may, at its discretion, present the option to opt in to a Free Trial on the subscription page within the App once you meet the eligibility criteria above. Enrollment in a Free Trial is opt-in and is not automatic.
5.2 Trial Duration
The Free Trial period is one (1) month (30 days) from the date of enrollment, unless otherwise stated in the App at the time you opt in.
5.3 What You Provide at Enrollment
To enroll in a Free Trial, you must provide or confirm:
- Your payment method for billing purposes (by default, your XVA — see Section 6.1);
- Your express, affirmative authorization for Xuno to automatically charge that payment method at the end of the trial unless you cancel (“Auto-Debit Authorization”);
- Your agreement to these Subscription Terms; and
- Your selected billing cycle (monthly or annual).
Xuno connects your payment method as XVA at enrollment so your Free Trial can convert automatically if you do not cancel. Providing a consent at enrollment does not itself trigger a charge; you will not be charged unless and until the trial converts under Section 5.4.
5.4 Trial Reminder & Conversion
On day 27 of your Free Trial, Xuno will send you a reminder (via email and/or in-app push notification) stating the exact conversion date, the amount and currency to be charged, and clear cancellation instructions. Unless you cancel before the Free Trial ends, your trial will automatically convert into a paid Xuno Premium subscription at the end of the 30-day period, and your designated payment method (by default, your XVA) will be charged the applicable subscription fee, provided sufficient funds are available.
Before your subscription renews or converts, you will be shown a clear disclosure in the App confirming the renewal terms and the amount to be charged. Please read that disclosure carefully before allowing a renewal or conversion to proceed.
5.5 Insufficient Funds at Conversion
If your XVA does not have sufficient funds to cover the subscription fee when your Free Trial converts, the charge will fail and your account will move to the Free Plan, as described in Section 6.6. You will not be enrolled in Xuno Premium until a successful payment is made.
5.6 If You Do Not Upgrade
If you cancel before your Free Trial ends, or your trial expires without successful conversion, your account returns to the Free Plan and you will not be charged.
6. Billing, Auto-Renewal & Payment
6.1 Payment Method
Xuno Premium fees are billed by default through your Xuno Value Account (“XVA”), your in-app Xuno account balance. If Xuno offers alternative payment methods for subscription billing, those options will be disclosed in the App. By enrolling in a Free Trial or Xuno Premium, you authorize Xuno to automatically charge your designated payment method for the applicable subscription fee at each billing date (“Auto-Debit Authorization”). You are solely responsible for maintaining sufficient available funds to cover each scheduled charge, and Xuno is not responsible for any fee your bank or financial institution charges as a result of a failed or declined transaction.
6.2 Auto-Renewal Disclosure & Consent
Before you enroll in a Free Trial or Xuno Premium, and before each renewal, you will be shown a clear and conspicuous disclosure, presented separately from other terms, confirming:
- your subscription will automatically renew at the end of each billing period;
- renewal will occur unless you cancel before the renewal date;
- the amount, currency, and payment method to be charged; and
- that by enrolling, you provide express affirmative consent for Xuno to automatically charge your designated payment method for the recurring fee at the start of each new billing period.
You must take an affirmative action (e.g., tapping a clearly labelled “Upgrade” button presented alongside this disclosure) to enroll. A pre-checked box or bundled acceptance of general terms does not satisfy this requirement. Xuno will retain records of this consent for at least three (3) years, or one (1) year following termination of your subscription, whichever is longer.
6.3 Billing Cycle
Xuno Premium is billed monthly or, if offered, annually, as selected by you at enrollment. Your billing date is the date your Free Trial converts or the date you first subscribe, and recurs on the same date each subsequent period (adjusted for shorter months as applicable).
6.4 Renewal Reminders
Before each automatic renewal, Xuno will send you a reminder notification via email and/or in-app push notification three (3) days before your renewal date, stating the upcoming charge amount, billing date, and cancellation instructions. For subscriptions that continue for extended periods, Xuno will also send at least one reminder every twelve (12) months describing the service, associated charges, and how to cancel.
6.5 Right to Benefits at Enrolled Price
Price protection. Once enrolled in Xuno Premium, you are entitled to receive the Benefits of your plan at the price in effect at the time of your enrollment through the end of your then-current billing cycle. Any price change (Section 6.7) applies starting from your next renewal following the required notice period, not retroactively to a cycle you have already paid for.
6.6 Failed or Insufficient-Funds Payments
If a scheduled charge fails, Xuno will downgrade your account to the Free Plan. Failed-payment handling does not extend your access to Xuno Premium Benefits beyond your paid period, and does not itself affect your underlying XVA or its non-subscription features.
6.7 Price Changes
Xuno Premium prices may change from time to time. Xuno will provide advance notice of any price increase before it takes effect, via email and/or in-app notice, stating the new price and effective date. Continuing your subscription after that effective date constitutes your acceptance of the updated price; you may cancel at any time before the increase takes effect to avoid it.
7. Cancellation
7.1 How to Cancel
You may cancel your Free Trial or Xuno Premium subscription at any time, at no cost, through the “Subscription Settings” section of the App, using a method at least as easy to use as the method you used to enrol:
- Navigate to Subscription Plan Settings and select “Cancel Subscription”;
- If Xuno presents a retention offer or optional exit survey, this step will not delay or obstruct cancellation, and a persistent, clearly labelled option to complete cancellation will remain visible throughout;
- Your cancellation is confirmed immediately within the App and by email.

7.2 Effect of Cancellation
When you cancel, your Xuno Premium Benefits remain active through the end of your current paid billing cycle. You will not be charged for the next billing cycle following cancellation. At the end of your current billing cycle, your account will automatically move to the Free Plan with no further action required from you.
7.3 No Partial-Period Refunds
Except as required by applicable law or expressly stated in these Subscription Terms, Xuno does not provide prorated refunds for partial billing periods, an unused set of values, or early cancellation. Cancelling mid-cycle stops future renewals; it does not refund the cycle already paid for.
7.4 Pending Transfers Not Affected
Cancelling your Xuno Premium subscription does not cancel, delay, or otherwise affect any money transfer you have already initiated. A transfer in progress at the time of cancellation will complete on the terms (fees, exchange rate, delivery method and limits) disclosed to you when you sent it, regardless of your subscription status at delivery.
8. Refunds
Scope: This Section applies to Xuno Premium subscription fees only. Transfer-related errors, unauthorised transfers, and remittance error-resolution rights are handled exclusively under Xuno’s General T&C and applicable law (including Regulation E), not under this Section.
Subscription fees are generally non-refundable. Notwithstanding the foregoing, Xuno may, in its discretion or where required by law, issue refunds or credit your payment method for: (a) demonstrable billing errors caused by Xuno; (b) duplicate charges; (c) a Subscription suspension or termination under Section 2 not caused by your violation of the Agreement (pro-rated unused portion only); or (d) as otherwise required by the laws of your state of residence. To request a refund, contact support@xuno.co within 10 days of the charge in question. Where a refund is approved, Xuno will credit the amount to the payment method originally charged, unless otherwise agreed.
9. Billing History & Receipts
You can access a Billing section within the App showing your subscription transaction history, activations, renewals, and failed payments, each with bill ID, billing date and period, plan name, amount and currency, payment status, and masked payment method. Subscription Receipts are separate from, and do not include, individual transfer receipts, which remain available in your transfer history. You may view and download receipts at any time through the App.
10. Plan Switching
10.1 Switching Between Free Plan and Xuno Premium
You may move from the Free Plan to Xuno Premium, or cancel Xuno Premium and return to the Free Plan, through the App at any time. Cancelling Xuno Premium is covered in Section 7; subscribing to Xuno Premium is covered in Sections 5 and 6.
10.2 Changing Billing Cycle
If you switch your Xuno Premium billing cycle between monthly and annual (coming soon), the change will adjust your next billing date and amount accordingly, as disclosed to you before you confirm the change.
10.3 No Frequency Restriction
There is no limit on how often you can subscribe to or cancel Xuno Premium. You are free to cancel and re-subscribe at any time, as many times as you like. Please note, however, that the Free Trial is a one-time offer per account, if you have already used your Free Trial, it will not be available again when you re-subscribe. Your re-subscription will go directly to a paid Xuno Premium plan at the then-current price.
10.4 No Cancellation Fee
There is no fee for cancelling your Xuno Premium subscription, on either a monthly or annual plan.
11. Changes to Set of Values or Plans
Xuno may, at its discretion, add, remove, or modify the set of values included in Xuno Premium, including as a result of regulatory, security, operational requirements, or changes to Xuno’s arrangements with banking or payments partners. Material reductions in the set of values available under Xuno Premium during an active billing period will be disclosed in the App in advance where reasonably practicable, and you may cancel as described in Section 7.
Changes to the set of values available under the Free Plan are governed by Xuno’s General T&C.
12. Financial Services & Disclosures
Important: A Xuno Subscription provides access to a set of financial service values and is separate from the underlying money-transmission, and financial services provided through your XVA. Subscribing to Xuno Premium does not constitute a deposit, extend credit, guarantee any investment return, or guarantee any specific exchange rate, fee, or delivery time on any individual transfer.
Subscription Benefits do not override transfer-specific disclosures. For every transfer, Xuno will separately disclose, before you send, the exchange rate, all fees, and the amount expected to be delivered, as required by Regulation E (12 C.F.R. §§ 1005.30–.36), regardless of your subscription status. Where a Xuno Premium Benefit changes the fee, limit, or delivery estimate for a given transfer, that change is reflected in the transfer-specific disclosure you receive at the time of that transfer, it is that disclosure, and not this document or Xuno’s marketing materials, that controls for any individual transfer.
Because subscription fees are billed through your XVA balance (see Section 6.1), maintaining sufficient available funds is necessary both for everyday use of your account and for uninterrupted Xuno Premium access. Details of Xuno’s banking partners and the institutions through which your account and electronic fund transfers are provided are maintained at Customer Account Agreement Disclosure and Consent. Your underlying XVA and its features are not terminated or altered by subscribing, cancelling, or re-subscribing to Xuno Premium, except that Xuno Premium-only values will no longer be accessible once you move to the Free Plan.
Nothing in these Subscription Terms is financial, investment, tax, immigration, or legal advice.
13. Assignment
Xuno may assign or transfer these Subscription Terms, in whole or in part, including in connection with a merger, acquisition, corporate reorganisation, or sale of assets, without your consent and without notice, provided that your rights under these Subscription Terms are not diminished. You may not assign or transfer these Subscription Terms or any rights under them without Xuno’s prior written consent.
14. Indemnification
To the maximum extent permitted by applicable law, and without limiting the indemnification obligations set out in Xuno’s General T&C, you agree to indemnify, defend, and hold harmless Xuno, its officers, directors, employees, and agents from and against any third-party claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Subscription Terms; (b) your fraudulent, unlawful, or abusive use of the Free Trial, Xuno Premium, or any related Benefit; or (c) your violation of any applicable law in connection with your use of a Subscription. This Section 14 does not require you to indemnify Xuno for claims arising from Xuno’s own violation of law, gross negligence, or wilful misconduct, and does not limit any right or remedy you have under applicable consumer-protection law that cannot be waived by agreement.
15. Disclaimers & Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XUNO Premium VALUES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XUNO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, SAVINGS, OR DATA, ARISING OUT OF OR RELATED TO YOUR SUBSCRIPTION, EVEN IF XUNO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XUNO’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO YOUR SUBSCRIPTION WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO XUNO FOR THE SUBSCRIPTION IN THE 12 MONTHS PRECEDING THE CLAIM. FOR THE AVOIDANCE OF DOUBT, THIS CAP SUPPLEMENTS AND NARROWS THE GENERAL T&C’S LIABILITY LIMITATION FOR SUBSCRIPTION-RELATED CLAIMS ONLY; THE GENERAL T&C’S LIMITATION APPLIES TO ALL OTHER CLAIMS.
NOTHING IN THIS SECTION 15 LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY ARISING UNDER REGULATION E OR OTHER REMITTANCE ERROR-RESOLUTION RULES, WHICH ARE GOVERNED SEPARATELY BY XUNO’S REMITTANCE DISCLOSURES AND APPLICABLE LAW, AND NOTHING IN THIS SECTION 15 LIMITS ANY CONSUMER-PROTECTION RIGHT THAT CANNOT BE WAIVED BY AGREEMENT UNDER YOUR STATE’S LAW.
16. Dispute Resolution & Arbitration
16.1 Agreement to Arbitrate
Except as set out in Sections 16.4 and 16.5, you and Xuno agree that any dispute, claim, or controversy arising out of or relating to your Subscription, these Subscription Terms, or the Agreement (a “Dispute”) will be resolved by binding, individual arbitration, and not in court, except that either party may bring an individual action in small claims court.
16.2 Class Action Waiver
You and Xuno agree that any arbitration or permitted court proceeding will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class or representative proceeding.
16.3 Small Claims Carve-Out
Either party may bring an individual action in small claims court for Disputes within that court’s jurisdiction, in lieu of arbitration.
16.4 Public Injunctive Relief Carve-Out
Nothing in this Section 16 requires arbitration of a claim for public injunctive relief where a pre-dispute waiver of the right to seek such relief in a public forum is unenforceable under applicable law (including California law). Any such claim will proceed in court, and will be stayed pending resolution of any individually arbitrable claims between the parties.
16.5 Right to Opt Out
You may opt out of this Section 16 by sending written notice to support@xuno.co within 30 days of first accepting these Subscription Terms, stating your name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor Xuno will be required to arbitrate Disputes under these Subscription Terms, but all other provisions of these Subscription Terms remain in effect.
16.6 Severability
If the Class Action Waiver in Section 16.2 is found unenforceable as to a particular Dispute, that Dispute (and only that Dispute) will proceed in court rather than in arbitration; the remainder of this Section 16 remains in effect. If any other part of this Section 16 is found unenforceable, that part will be severed and the remainder enforced.
17. State-Specific Auto-Renewal & Consumer Disclosures
Xuno complies with applicable state automatic-renewal and “negative option” laws, including — without limitation — California’s Automatic Renewal Law (Cal. Bus. & Prof. Code §§ 17600–17606, as amended effective July 1, 2025, extending coverage to free-to-paid conversions such as Xuno’s Free Trial), New York General Business Law § 527, Massachusetts’s automatic-renewal regulations (940 CMR 33.00, effective September 2, 2025), and similar statutes in other states. Depending on your state of residence, you may have specific rights, including:
- Clear and conspicuous disclosure of automatic-renewal terms, presented separately from other terms, before you pay;
- Express affirmative consent to the auto-renewal terms specifically;
- The ability to cancel an auto-renewing subscription online, through a cost-free, easy-to-use mechanism at least as easy as the method used to sign up;
- Advance notice of material term changes, including price increases (see Section 6.7);
- Reminder notices before a Free Trial converts to a paid subscription (see Section 5.4), and periodic (at least annual) reminders for ongoing subscriptions (see Section 6.4).
If you are a resident of a state with additional or differing requirements, those requirements apply to the extent not preempted, and Xuno will comply with them.
18. Governing Law
These Subscription Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except where superseded by a consumer’s state of residence’s mandatory consumer-protection, auto-renewal, or arbitration-limitation laws as described in Sections 16 and 17. Any Dispute not subject to arbitration under Section 16 will be brought exclusively in the state or federal courts, and you and Xuno each consent to personal jurisdiction there.
19. General Provisions
19.1 Entire Agreement
These Subscription Terms, together with the documents they incorporate by reference, constitute the entire agreement between you and Xuno regarding your Subscription and supersede any prior or contemporaneous understandings on that subject.
19.2 Severability
If any provision of these Subscription Terms (other than Section 16) is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
19.3 No Waiver
Xuno’s failure to enforce any provision of these Subscription Terms is not a waiver of its right to do so later.
19.4 Force Majeure
Xuno is not liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disaster, war, terrorism, labour disputes, internet or telecommunications failures, or actions of governmental authorities, banking partners, or payment networks.
19.5 Survival
Sections 8 (Refunds, as to amounts already accrued), 12, 14, 15, 16, 17, 18, and this Section 19 survive termination or cancellation of your Subscription.
19.6 Notices
Xuno may provide notices to you electronically, including by email, in-app notice, or push notification, consistent with your E-SIGN Consent.
20. Changes to These Subscription Terms
Xuno may update these Subscription Terms from time to time. If we make material changes, we will notify you via email, in-app notice, or push notification before the changes take effect. Your continued use of Xuno Premium after the effective date of a material update constitutes acceptance of the revised Subscription Terms; if you do not agree, your only remedy is to cancel your Subscription before the change takes effect.
